I'm still bothered by the corps question tot he point where I had to argue both eventualities. The D intended to incorporate an LLC but the facts supported an S-Corp or a corp. He wanted to raise money (not llc), the lawyer properly filed incorporation with DoS (the facts were purposely vague), there was no period after the name Kitchen Sink Corp and they held no meetings- neither shareholder or board. So what entity resulted? I remember that some NY business entities construct themselves as a corp but carry on as a LLC but they normally will have LLC in the name and follow partnership law. But then you have de facto and de jure corp and filing is conclusive evidence of de jure corp. Did I make it unnecessarily complicated for myself?
